Contributor License Agreement

Before a contribution to a Structured World project can be accepted, its author signs the Contributor License Agreement once. You keep the copyright in your contribution: the agreement is a license, not a transfer of ownership. One signature covers all your contributions to the projects, past and future.

The agreement

Individual Contributor License Agreement

Version 1.0

Thank you for your interest in contributing to software projects maintained by Dmitry Prudnikov. The agreement is made with him as a natural person, and he may transfer it to Asociația „STRUCTURED WORLD" (section 9). This Individual Contributor License Agreement ("Agreement") documents the rights granted by contributors to the Maintainer. It protects you as a contributor as well as the Maintainer and the users of the Projects; it does not change your rights to use your own Contributions for any other purpose.

You keep the copyright in your Contributions. This Agreement is a license, not a transfer of ownership.

If you contribute on behalf of your employer or another legal entity, or your employer has rights to what you create, read section 4 before signing; your employer may need to sign the Corporate Contributor License Agreement instead of, or in addition to, this one.

How to sign

Sign at https://sw.foundation/cla:

  1. sign in with your GitHub account;
  2. enter your full name, e-mail address and country;
  3. confirm your e-mail address with the code we send to it;
  4. read this Agreement, type your full name as your signature and confirm.

You receive a copy of the signed Agreement by e-mail. Your signature covers every Contribution you make to the Projects from then on, as well as those you made before signing. You sign once.

Terms

You accept and agree to the following terms and conditions for Your present and future Contributions submitted to the Maintainer. Except for the licenses granted herein to the Maintainer and recipients of software distributed by the Maintainer, You reserve all right, title, and interest in and to Your Contributions.

1. Definitions

"Maintainer" means Dmitry Prudnikov, a natural person, and any person or legal entity to which this Agreement is assigned under section 9.

"Association" means the association „STRUCTURED WORLD" (Asociația „STRUCTURED WORLD"), a non-profit legal person under Romanian Government Ordinance no. 26/2000, from its entry in the Register of Associations and Foundations, and any successor organisation to which its assets pass.

"You" (or "Your") means the copyright owner, or legal entity authorized by the copyright owner, that is making this Agreement with the Maintainer. For legal entities, the entity making a Contribution and all other entities that control, are controlled by, or are under common control with that entity are considered to be a single Contributor. For the purposes of this definition, "control" means (i) the power, direct or indirect, to cause the direction or management of such entity, whether by contract or otherwise, or (ii) ownership of fifty percent (50%) or more of the outstanding shares, or (iii) beneficial ownership of such entity.

"Projects" means the software projects owned or managed by the Maintainer or by the Association, including those published under the GitHub organizations structured-world and structured-id, among them structured-zstd.

"Contribution" means any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to the Maintainer for inclusion in, or documentation of, any of the Projects. For the purposes of this definition, "submitted" means any form of electronic, verbal, or written communication sent to the Maintainer or the Maintainer's representatives, including but not limited to communication on electronic mailing lists, source code control systems (including pull requests), and issue tracking systems that are managed by, or on behalf of, the Maintainer for the purpose of discussing and improving the Projects, but excluding communication that is conspicuously marked or otherwise designated in writing by You as "Not a Contribution."

Subject to the terms and conditions of this Agreement, You hereby grant to the Maintainer and to recipients of software distributed by the Maintainer a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.

This license includes the right of the Maintainer to license Your Contributions, and works that include them, to any third party under any terms, including the open source license under which a Project is published at the time of Your Contribution, any other open source license, and proprietary or commercial licenses.

3. Grant of Patent License

Subject to the terms and conditions of this Agreement, You hereby grant to the Maintainer and to recipients of software distributed by the Maintainer a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the work, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Project to which such Contribution(s) were submitted. If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that Your Contribution, or the Project to which You have contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Project shall terminate as of the date such litigation is filed.

4. Your Authority to Grant

You represent that You are legally entitled to grant the above licenses. If Your employer(s) has rights to intellectual property that You create that includes Your Contributions, You represent that You have received permission to make Contributions on behalf of that employer, that Your employer has waived such rights for Your Contributions to the Maintainer, or that Your employer has executed a separate Corporate Contributor License Agreement with the Maintainer.

5. Original Work

You represent that each of Your Contributions is Your original creation (see section 7 for submissions on behalf of others). You represent that Your Contribution submissions include complete details of any third-party license or other restriction (including, but not limited to, related patents and trademarks) of which You are personally aware and which are associated with any part of Your Contributions.

6. Moral Rights

To the extent permitted by applicable law, You waive, and agree not to assert, any moral rights You may have in Your Contributions against the Maintainer or recipients of software distributed by the Maintainer, including the right to object to modifications of Your Contributions and the right to be identified as their author in any particular form. Where such rights cannot be waived, You grant the Maintainer the consents needed to exercise the licenses in sections 2 and 3.

7. Third-Party Work

Should You wish to submit work that is not Your original creation, You may submit it to the Maintainer separately from any Contribution, identifying the complete details of its source and of any license or other restriction (including, but not limited to, related patents, trademarks, and license agreements) of which You are personally aware, and conspicuously marking the work as "Submitted on behalf of a third party: named here".

8. Support and Warranty

You are not expected to provide support for Your Contributions, except to the extent You desire to provide support. You may provide support for free, for a fee, or not at all. Unless required by applicable law or agreed to in writing, You provide Your Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

9. Assignment

You agree that the Maintainer may assign this Agreement, in whole or in part, together with all rights granted under it, to the Association, without further consent from You and without notice to You beyond a statement published in the Project concerned. You also agree that the Maintainer may assign it, on the same terms, to a legal entity the Maintainer controls or to a successor maintainer of a Project. From the assignment, the assignee holds the licenses in sections 2 and 3 as the Maintainer, and Your Contributions submitted after it are licensed to the assignee directly. The licenses already granted to recipients of software distributed by the Maintainer are not affected by an assignment.

10. No Obligation

The Maintainer is not obliged to include Your Contributions in any Project or in any release. A Contribution may be modified, combined with other work, or removed at the Maintainer's discretion.

11. Notification

You agree to notify the Maintainer of any facts or circumstances of which You become aware that would make these representations inaccurate in any respect, by writing to info@sw.foundation.

12. Electronic Signature

You agree that completing the signing procedure at https://sw.foundation/cla, signed in to Your GitHub account and after confirming Your e-mail address, by typing Your name as Your signature and confirming, is Your electronic signature of this Agreement, with the same effect as a handwritten signature. You agree that the record kept by the Maintainer of that signature (Your GitHub account, the name, e-mail address and country You entered, the time, and the version and checksum of this document) is evidence of it.
