Governance
The association is governed by its statute and by Romanian Government Ordinance no. 26/2000 on associations and foundations.
Bodies
The General Assembly is the supreme governing body. It is made up of all voting members, each with a single vote regardless of category or financial contribution. It sets the strategy, approves the budget and the annual accounts, elects the board, admits and excludes members and is the only body that can amend the statute. (Art. 17, 18)
The Board of Directors is the executive body. It carries out the decisions of the General Assembly, sets the licensing policy for the software and data the association publishes, administers its intellectual property and adopts its internal policies. Its members are elected for five years. (Art. 22, 25)
The President represents the association. The President alone signs legal acts below a set value. Above it, the President and the Treasurer sign together, and above a higher threshold the board must approve the act first. Such acts are always signed by two different officers of the board. Where one person holds both offices concerned (for example, a Vice-President who is also the Treasurer and stands in for the President), the Secretary General signs as the second. The board may delegate the right to sign to an employee or contractor by a decision setting the value limit and the period. Financing contracts (grants, sponsorships) always need the board's approval, whatever their value. (Art. 27, 30)
Financial control is exercised by the General Assembly while every member also sits on the board, and by an independent censor once the association has fifteen members. (Art. 36, 37)
Transparency
The statute requires the association to publish, on this site:
- an annual activity report with income by source, expenditure by category, the open source projects funded and the amounts allocated (Art. 54);
- the annual declarations of interests of the board members (Art. 68.3);
- the rules for using the association's trademarks (Art. 41.2);
- the model patent licence agreement (Art. 45.1).
They will appear here as they are adopted. Until the association is registered, there is nothing to report.
